Cybersprint Terms of Use

The following Terms of Use apply if you use Cybersprint services

1. General

These Terms of Use (“Terms of Use”) apply between us, Cybersprint B.V., a private company with limited liability organized under the laws of the Netherlands, having its corporate seat in The Hague and its registered office at Wilhelmina van Pruisenweg 35, 2595 AN, The Hague, registered in the trade register of the Dutch Chamber of Commerce under the number 63964228 and each client (“Client”) that is using our services as well as to Client’s access to and use of our services, portal, software, application programming interfaces and related materials (collectively the “Cybersprint Services”).

2. Access to and use of the Cybersprint Services

2.1 Subject to Client’s compliance with these Terms of Use, Cybersprint hereby grants to Client a non-exclusive, non-transferable right to access and use the Cybersprint Services for a specified term and for the sole purpose of accessing, viewing, copying and using the data (including text, images, sounds, video) and other content made available through the Cybersprint Services (the “Data”), for its own internal business purposes (the “Permitted Purpose”). Client is not entitled to allow access to the Cybersprint Services or otherwise make the Cybersprint Services available to any third party.

2.1 Cybersprint reserves the right to change, modify, add, or remove parts of the Cybersprint Services at any time at its discretion and without notice. If Cybersprint reduces or eliminates any essential functionality in the Cybersprint Services it will replace such functionality with substantially similar or improved functionality.

2.1 Client warrants that it owns any brand names or is entitled to any keywords it requests to have scanned with the Cybersprint Services and hereby grants Cybersprint the right to use such brand names and keywords for providing the Cybersprint Services.

3. Delivery of Cybersprint Services

3.1 The Cybersprint Services may be provided in various different ways, including via the Cybersprint portal, APIs, e-mail and threat intelligence platforms.

3.2 Cybersprint may, upon Client’s request, create a non-personal (system) account, by means of an API token, so that Client can access the Cybersprint Services for its organization using the provided API. Client shall be solely responsible for all activities that occur under this non-personal (system) account and via all other accounts and reporting and other communication methods or third party portals that have been authorised by such non-personal (system) account or by Client, and for all use of access details and (API) keys provided to Client by Cybersprint.

3.3 Cybersprint is not responsible for any unauthorized access to Client’s accounts, portals or communications. Client shall notify Cybersprint immediately if it suspects or becomes aware of any unauthorised use of any of its accounts or any other breach of security.

4. Client responsibilities

4.1 Client shall and shall procure that its users shall use the Cybersprint Services (i) in accordance with these Terms of Use (ii) solely for the Permitted Purpose and (iii) in accordance with the instructions of Cybersprint.

4.2 Client shall not use or permit anyone else to use the Cybersprint Services (a) to circumvent or disable or attempt to circumvent or disable any security of or restriction within the Service; (b) to access data not intended for it, or to log on to an account that it is not expressly authorised to access or to log on; or (c) in any manner that in the opinion of Cybersprint (i) negatively affects the use or the functioning of the Cybersprint Services; or (ii) is not in accordance with any applicable laws and regulations.

4.3 Client shall apply its own judgement in making any use of the Cybersprint Services and the Data. Any conclusions, decisions or actions based upon the Cybersprint Services and/or the Data are at Client’s own risk and account and Cybersprint does not accept any liability for any damages, losses or expenses that may arise from Client’s conclusions, decisions or actions.

4.4 Supply Chain Risk services. If Client uses Supply Chain Risk services from the Cybersprint Services, then Client agrees and accepts that (i) Cybersprint generates its assessment and related risk score of third parties on a best-effort basis from publicly available sources and that (ii) Client has a contractual right or a reasonable and demonstrable interest to initiate a Cybersprint third party risk assessment on the relevant third parties selected by Client. Client hereby indemnifies Cybersprint and holds Cybersprint completely harmless from and against any claims related to Cybersprint’s performance of the Supply Chain Risk services for Client.

5. Data Protection Cybersprint users

5.1 Cybersprint may use the personal data provided in the account details in order to provide the Cybersprint Services and/or to contact a Client. With respect to such personal data Cybersprint is the data controller and Cybersprint will only use that personal data in accordance with its privacy statement available at https://www.cybersprint.com/privacy-cookies.

5.2 In providing the Cybersprint Services, under which but not limited to the research and analysis of Data to provide insights, Cybersprint may collect and process data that could be considered as personal data. With regard to such personal data Cybersprint shall be considered a data controller as it determines the purposes and means of the processing of such personal data, which personal data it collects, where it collects such personal data and how it processes and presents its analysis to its Clients via the Cybersprint Services.

5.3 If Client requests to have personal data scanned with the Cybersprint Services, Client warrants that it is entitled to provide Cybersprint with the personal data it requests to have scanned with the Cybersprint Services. Cybersprint may use such personal data as well as the keywords containing personal data and uploaded by the Client or an user in order to provide the Cybersprint Services and/or to contact a Client. With respect to such personal data Cybersprint is the data controller as it determines the purposes and means of the further processing of such personal data in order to provide Client the requested analysis and insights via the Cybersprint Services. Cybersprint does not process such personal data in accordance with detailed documented instructions of a Client and therefor remains a data controller. Personal data will be processed by Cybersprint in accordance with its privacy statement available at https://www.cybersprint.com/privacy-cookies.

6. Confidentiality

6.1 The Cybersprint Services and the Data provided by Cybersprint and the information provided by Client contains confidential and proprietary information (“Confidential Information”).

6.2 Both Cybersprint and Client shall maintain strict confidentiality with respect to the Confidential Information received from the other party and shall:

  • use the Confidential Information solely for the purpose of providing or using the Cybersprint Services;
  • not distribute, disclose or disseminate Confidential Information to any person other than any persons who reasonably need to know such information for the purpose of providing or using the Cybersprint Services;
  • treat Confidential Information with the same degree of care as it itself observes towards its own information of like importance which is to be kept confidential;
  • restrict access to the Confidential Information to persons who reasonably need to have such access for the purpose of providing or using the Cybersprint Services.

6.3 Both Cybersprint and Client shall impose the confidentiality obligations upon its respective employees and authorized third parties by written agreement and shall see to it that its employees and authorized third parties shall at all times fully comply with such obligations.

6.4 The confidentiality obligations do not apply to information that: (a) has become publicly known through no breach of any obligations of confidentiality; (b) has been independently developed without access to the Confidential Information; (c) is received from a third party who has the lawful right to disclose such information; or (d) required to be disclosed by law or by a governmental authority.

7. Intellectual Property Rights

All copyrights and all other intellectual property rights in and in connection with the Cybersprint Services are and remain exclusively vested in Cybersprint or its licensors. These Terms of Use do not intend to transfer any intellectual property rights to Client or any third party, or grant Client with more rights than as explicitly indicated herein. Client acknowledges these intellectual property rights and shall refrain from any form of direct or indirect violation of these intellectual property rights and shall not remove from or change in the Cybersprint Services any designation concerning copyrights, or other intellectual property rights, including any indications concerning the confidential nature of the Cybersprint Services.

8. Limited warranty

8.1 Although care has been taken to ensure the accuracy of the Cybersprint Services and Data, Cybersprint provides the Cybersprint Services and Data “as-is”. Client understands and is aware that due to the nature of the Cybersprint Services, Cybersprint does not warrant that the Cybersprint Services detects all online activity related to the Client and/or its brands or that the Cybersprint Services and/or the Data are otherwise up-to-date, complete and accurate. Cybersprint does not accept any liability for any damages, losses or expenses that may arise from any online activity related to the Client and/or its brands not detected by the Cybersprint Services or the Cybersprint Services and/or Data otherwise being outdated, incomplete or inaccurate.

8.2 Cybersprint will make every commercially reasonable effort to perform the Cybersprint Services to the best of its knowledge and ability. Cybersprint strives for an availability of the Cybersprint Services and the Cybersprint portal of twenty-four (24) hours a day and seven (7) days per week, but Cybersprint does not guarantee that it operates without interruption and errors.

8.3 Cybersprint may change, replace, suspend, revoke or block Client’s (access to) the Cybersprint Services, e.g. in the event of new functionalities, malfunctions, maintenance, non-payment, expiration or termination of Client’s subscription or Client’s breach of these Terms of Use or other contractual obligations.

9. Liability

Cybersprint disclaims, to the fullest extent permitted by local, national and international law and regulation and regardless of the legal ground under which liability is incurred, all warranties and liability for damages, whether direct, indirect or consequential, arising from the use of the Cybersprint Services. Regardless of the legal ground under which liability is incurred, the total cumulative liability of Cybersprint is limited to the fees that have been paid annually by Client for the Cybersprint Services.

10. Termination

If Client (i) fails to comply with any of the provisions of these Terms of Use and has not remedied such failure within 14 days after having been notified by Cybersprint identifying the failure, or (ii) commits an act of bankruptcy or has receiving order made against it or shall present its petition in bankruptcy or shall make an arrangement with or assignment in favour of its creditors or goes into liquidation, Cybersprint shall be entitled at its own discretion to terminate the subscription with immediate effect upon written notification thereof to Client and without incurring any liability towards Client.

11. Governing law and disputes

The relationship between Cybersprint and Client, including these Terms of Use, their subject matter and their formation, is governed exclusively by Dutch law. The courts of The Hague have exclusive jurisdiction.


Compliance: klachtenregeling

Dutch Private investigation license
Cybersprint is a licensed private investigation firm with Dutch license number 1792. On this page you can find the complaints procedure. This is procedure is in Dutch.

Klachtenregeling
De klachtenregeling van Cybersprint BV houdt in dat verwezen wordt naar onderstaande regeling (Rpbr) welke voortvloeit uit de Wet particuliere beveiligingsorganisaties en recherchebureaus (Wpbr).

“Artikel 18 van de Regeling particuliere beveiligingsorganisaties en recherchebureaus bepaalt:
1. Een beveiligingsorganisaties of recherchebureaus stelt een klachtenregeling vast. De klachtenregeling bevat tenminste gegevens over:
a. bij wie de klacht moet worden ingediend;
b. de minimale eisen waaraan een klaagschrift moet voldoen;
c. de termijn waarbinnen een klacht kan worden ingediend;
d. de te volgen procedure voor de behandeling van de klacht;
e. de termijn waarbinnen de klacht wordt afgehandeld.
2. Een beveiligingsorganisatie of recherchebureau brengt een kopie van een ingediende klacht ter kennis van de minister.
3. Aan de indiening en behandeling van de klacht worden geen kosten verbonden.”

De klachtenregeling zoals deze hieronder is opgenomen probeert een zo volledig mogelijke klachtenregeling weer te geven. In deze klachtenregeling van Cybersprint BV wordt onderscheid gemaakt tussen de behandeling van een klacht in eerste aanleg door Cybersprint BV en die in tweede aanleg (door een klachtencommissie).

Artikel 1 – Definities
Deze regeling verstaat onder:
1. de organisatie: Cybersprint BV;
2. de klager: degene wiens belang rechtstreeks betrokken is bij de gedraging van de organisatie;
3. een gedraging: het handelen of nalaten van de organisatie of haar medewerkers;
4. de beklaagde: de organisatie tegen wiens gedraging door een klager een klaagschrift is ingediend;
5. een klacht: een uiting van ontevredenheid;
6. een klaagschrift: het schriftelijk tot uiting brengen van een klacht tegen een gedraging van de beklaagde;
7. een beroepschrift: een schriftelijke klacht tegen de beslissing van de eigenaar van de organisatie, het uitblijven van een beslissing van de eigenaar van de organisatie of een andere gedraging van de eigenaar van de organisatie.

Artikel 2 – Toepassingsgebied
Dit reglement is van toepassing op de behandeling van klachten over gedragingen van Cybersprint BV en diens medewerker(s).

Artikel 3 – Wijze van indienen van een klaagschrift
1. Een klager of zijn gemachtigde kan een klacht indienen bij de eigenaar van de organisatie.
2. Een klaagschrift wordt ondertekend en bevat minstens de volgende gegevens:
– de naam en adres van de klager;
– de datum van indiening;
– een exacte omschrijving van de gedraging waartegen bezwaar gemaakt wordt;
– de gronden waarop de klager bezwaar maakt;
– de ondertekening door klager.
3. Indien het klaagschrift niet voldoet aan de in het tweede lid van dit artikel genoemde vereisten stelt de eigenaar van de organisatie klager hiervan op de hoogte en nodigt klager uit het verzuim binnen twee weken te herstellen.
4. Indien klager het verzuim, zoals bedoeld in het derde lid van dit artikel, niet herstelt wordt de klacht niet in behandeling genomen.

Artikel 4 – Indieningstermijn klaagschrift
De termijn voor het indienen van een klaagschrift bedraagt zes weken, te rekenen vanaf de datum waarop de gedraging waarover geklaagd wordt heeft plaatsgevonden.

Artikel 5 – Kosteloze behandeling
Aan de behandeling van een klaagschrift zijn geen kosten verbonden.

Artikel 6 – Ontvangstbevestiging klaagschrift
De eigenaar van de organisatie zendt binnen twee weken na ontvangst van het klaagschrift een bericht van ontvangst.

Artikel 7 – Wijze van behandelen klaagschrift
1. De directeur van de organisatie onderzoekt de klacht en nodigt de klager uit voor een persoonlijk onderhoud.
2. De directeur van de organisatie hoort de klager en kan tevens inlichtingen bij derden inwinnen.
3. Indien de klager niet gehoord wenst te worden volgt een schriftelijke behandeling van de klacht.
4. De eigenaar van de organisatie beslist binnen zes weken na ontvangst van het klaagschrift op de klacht.
5. De beslissing op de klacht wordt schriftelijk aan de klager meegedeeld.

Artikel 8 – Beslissing
1. De directeur beslist binnen zes weken na ontvangst van het klaagschrift op de klacht.

Artikel 9 – Schriftelijke mededeling
1. De beslissing op de klacht wordt schriftelijk aan de klager meegedeeld.

Artikel 10– Toezichthouder
De eigenaar van de organisatie zendt binnen twee weken na ontvangst van de klacht een kopie van het klaagschrift en/of beroepschrift aan het Ministerie van Veiligheid en Justitie, t.a.v. Justis, de Justitiële Uitvoeringsdienst Toetsing, Integriteit en Screening.
